5. September 17, 2026 SEC Innovation Exemption

On September 17, 2026, the SEC issued Release No. 34-106402, a temporary, conditional order granting qualifying Tokenized Securities Venues relief from the Exchange Act definition of “exchange” for specified trading of tokenized National Market System (NMS) stocks using permissioned AMM liquidity pools. The order also grants conditional relief from the definition of “dealer” for certain qualifying liquidity providers. The exemptions are time-limited and are scheduled to expire five years after publication, absent further SEC action.

This is an exemption order—not an “Innovation Act,” blanket authorization for tokenized securities, or automatic approval of NYALTX. The relief is limited in scope and requires compliance with detailed conditions.

Illustrative conditions and boundaries

  • Permissioned participant access and U.S.-person / sanctions-related requirements.
  • Limits on eligible stock symbols and trading volume, and publication of specified market and transaction information.
  • Tokenized NMS stock must convey rights and privileges equivalent to the underlying traditional shares; synthetic exposure products are outside this definition.
  • Issuer notice and opportunity to object when applicable, and coordination with primary-market trading halts.
  • Auditable public smart contracts, books and records, technology safeguards and continued anti-fraud / anti-manipulation obligations.

The exemption does not, by itself, authorize trading of private placements, all OTC securities, debt, funds or other non-NMS assets. Those products require independent legal analysis and potentially different regulatory structures.
