3. The Tokenized Securities Opportunity

Practical institutional questions for legally valid digital securities records and trading.

3. The Tokenized Securities Opportunity

Tokenization represents ownership or other rights in a security using a blockchain-linked record or token. The business opportunity is to improve interoperability among issuance, cap-table administration, governance, transfer restrictions, disclosures, and trading. A token is not automatically a legally valid share: rights, transfer-agent records, corporate authorization, beneficial ownership and applicable securities law must be aligned.

For institutional investors, the relevant questions are practical: Who is the issuer? What legal rights attach to the token? Who maintains the authoritative ownership record? Who can trade? How are restrictions enforced? What happens during corporate actions or trading halts? The NYALTX/Governa strategy should be evaluated against those requirements.
